Representations and Warranties of the Originator with Respect to the Mortgage Loans; Retransfer of Certain Mortgage Loans. (a) The Originator makes the following representations and warranties as to the Mortgage Loans on which the Trustee relies in accepting the Mortgage Loans in trust and executing and authenticating the Certificates and on which the Certificate Insurer relies in issuing the Certificate Insurance Policy. Such representations and warranties speak as of the Closing Day with respect to the Initial Mortgage Loans, and as of the related Subsequent Transfer Date with respect to any Subsequent Mortgage Loan (unless otherwise specified), but shall in each case survive the sale, transfer, and assignment of the Mortgage Loans to the Trustee:
