Representations and Warranties of the Other Investors. Each Other Investor hereby severally but not jointly represents and warrants as of the date hereof and as of the Closing Date to the Company and to the Focus Investor on a several but not a joint basis that: (a) Organization and Authority. Such Other Investor is a company duly organized and validly existing under the laws of the jurisdiction in which it is incorporated, is duly qualified to do business and is in good standing in all jurisdictions where its ownership or leasing of property or the conduct of its business requires it to be so qualified, and has corporate power and authority to own its properties and assets and to carry on its business as it is now being conducted.
