REPRESENTATIONS AND WARRANTIES OF THE SELLER REGARDING THE. COMPANY The Stockholder represents and warrants to Buyer that the statements contained in this CLAUSE SECOND are true and correct in all material respects as of the date hereof and shall be true and correct in all material respects as of the Closing Date, except as set forth in the disclosure schedule attached hereto and initialed by the Buyer (the "Disclosure Schedule"). The Disclosure Schedule shall be arranged in paragraphs corresponding to the numbered and lettered paragraphs contained in this Clause SECOND. No representations or warranties given hereby, shall be considered to be given on behalf of other stockholders or any other third party different from the Stockholder.
