Representations and Warranties of the Seller Regarding the Mortgage Loans. (a) The Seller hereby represents and warrants to the Depositor and the Insurer, and the Depositor hereby assigns its rights with respect to such representations and warranties to the Trust, the Indenture Trustee on behalf of the Noteholders and the Certificateholders and the Insurer as follows as of the Closing Date, and with respect to each Eligible Substitute Mortgage Loan, as of the date of such substitution (and to the extent expressly stated therein as of such other time):
