REPRESENTATIONS AND WARRANTIES OF THE SELLERS AND AVCO. Except as set forth on the Exception Schedule attached hereto as Schedule 4, each of the Sellers and AVCO jointly and severally represent and warrant to Purchaser as set forth in this Article IV. The Exception Schedule shall state each specific section of this Agreement to which each exception is made. Such representations and warranties are made on the date hereof and shall be made again as of the Closing as if made on the date thereof. No fact or circumstance disclosed to or discovered or known by Purchaser shall constitute an exception to these representations and warranties unless such fact or circumstance is set forth on the Exception Schedule attached hereto.
