REPRESENTATIONS AND WARRANTIES OF THE SELLERS AND THE EXECUTIVE SHAREHOLDERS. Each of the Sellers and each of the Executive Shareholders, on a joint and several basis, hereby represents and warrants to, and covenants with, the Buyer as follows, each of which is relied upon by the Buyer in consummating the transactions contemplated hereby regardless of any other investigation made or information obtained by the Buyer; PROVIDED, HOWEVER, that the representations, warranties and covenants of each Executive Shareholder in this Section 5 shall be made only as to himself and to each Seller in which such Executive Shareholder owns any shares or partnership interests, as the case may be: Section
