Each Shareholder and Simon, severally and not jointly, represent and warrant to Cyrk and Sub that the statements contained in this Article III are true and correct, except as set forth in the disclosure schedule dated as of the date hereof and delivered by Simon to Cyrk simultaneously with the execution of this Agreement (the "Simon Disclosure Schedule").
