REPRESENTATIONS AND WARRANTIES OF THE SHAREHOLDERS, RCH MEMBERS, AND THE COMPANY. To induce Buyer to enter into and perform this Agreement, and except as otherwise set forth in the Disclosure Schedules, which exceptions will specifically identify the paragraph or paragraphs of this Article 3 to which such exceptions relate, and which will constitute in its entirety a representation and warranty under this Article 3, the Company, RCH, and RCH Members, and LA and DM only as to Sections 3.1.2, 3.1.3, 3.1.4, 3.1.5, 3.1.6, 3.5, and 3.26 (as the latter pertains to the foregoing sections), jointly and severally represent and warrant to Buyer as of the date of this Agreement and as of the Closing as follows (which representations and warranties will survive the Closing as provided in Article 9):
