REPRESENTATIONS AND WARRANTIES OF THE SIGNIFICANT STOCKHOLDERS. As a material inducement to the Parent and Merger Sub to enter into this Agreement, and to consummate the transactions contemplated hereby, each Significant Stockholder, severally but not jointly, represent and warrant to the Parent as of the date hereof and as of the Closing, as follows:

REPRESENTATIONS AND WARRANTIES OF THE SIGNIFICANT STOCKHOLDERS. Each of the Significant Stockholders represents and warrants to the Buyer, severally and not jointly, that the statements contained in this Section 3.1 are correct and complete as of the date of this Agreement with respect to himself or itself, except as set forth in the disclosure letter delivered by Significant Stockholders to Buyer concurrently with the execution and delivery of this Agreement (the “Significant Stockholder Disclosure Letter”).
