REPRESENTATIONS AND WARRANTIES OF THE TARGET AND KEY SHAREHOLDER. As of the Closing Date, and except as set forth in the Target Financial Statements or the Disclosure Statement, or as otherwise provided for in any certificate or other instrument delivered pursuant to this Agreement, the Target and the Key Shareholder make the following representations to the Purchaser and acknowledge and agree that the Purchaser is relying upon such representations and warranties, each of which is qualified in its entirety by the matters described in the Disclosure Statement, in connection with the execution, delivery and performance of this Agreement:
