REPRESENTATIONS AND WARRANTIES OF THE TENDER AND PAYING AGENT. The Tender and Paying Agent represents and warrants to the Fund and the Liquidity Provider that as of the date hereof: (a) the Tender and Paying Agent is duly organized and is validly existing as a banking corporation under the laws of the State of New York and has the corporate power to enter into and perform its obligations under this Agreement; and (b) this Agreement constitutes the legal, valid and binding obligation of the Tender and Paying Agent except as the same may be limited by bankruptcy, insolvency, reorganization, moratorium and similar laws related to or affecting the rights of creditors generally from time to time in effect and by general principles of equity.
