Representations and Warranties of the Trust and the Company. Each of the Trust and the Company jointly and severally represent and warrant to each Agent as of the date hereof, as of the date of each acceptance by the Trust of an offer for the purchase of Notes, as of the date the Notes are delivered in exchange for payment (the "SETTLEMENT DATE") and as of any time that the Registration Statement or the Prospectus shall be amended or supplemented (other than by an amendment or supplement providing solely for the determination of the variable terms of the notes offered pursuant to the Registration Statement, including the establishment of or a change in the interest rates, maturity or price of notes offered pursuant to the Registration Statement or similar changes) (each of the times referenced above being referred to herein as a "REPRESENTATION DATE") as follows:
