Common use of Representations and Warranties of the Trust Depositor Clause in Contracts

Representations and Warranties of the Trust Depositor. (a) The Trust Depositor hereby represents and warrants to the Trust, the Indenture Trustee and the Noteholders that the representations and warranties of the Trust Depositor set forth in Section 3.01 of the Sale and Servicing Agreement are true and correct as of the Subsequent Transfer Date. (b) The Trust Depositor hereby repeats and remakes with respect to the Subsequent Contracts as of the Subsequent Transfer Date the representations and warranties of the Servicer, as Seller of the Subsequent Contracts, set forth in Exhibit J to the Sale and Servicing Agreement, except that no representation or warranty is made herein with respect to paragraph 3(b) thereof (other than with respect to clause (i) of paragraph 3(b)). (c) The Trust Depositor hereby represents and warrants that (a) the aggregate Principal Balance of the Subsequent Contracts listed on the Subsequent List of Contracts and conveyed to the Trust pursuant to this Agreement is $ as of the Subsequent Cutoff Date, and (b) the conditions set forth in Section 2.03(b) of the Sale and Servicing Agreement have been satisfied as of the Subsequent Transfer Date.
