Representations and Warranties of the Trustee. The Trustee hereby represents and warrants to the Sponsor and the Depositor, for the benefit of each of the Certificateholders, that as of the Closing Date: (a) There are no affiliations relating to the Trustee of a type that are described under Item 1119(a) of Regulation AB; and (b) There are no legal proceedings pending or contemplated, including legal proceedings pending or contemplated by governmental authorities, against the Trustee that could be material to the Certificateholders.
