Representations and Warranties of the USGL Stockholders. Each of the USGL Stockholders severally, and not jointly, represents and warrants to Wexford that, with respect to the USGL shares owned by such USGL Stockholder as set forth on Exhibit "A" attached hereto, the statements contained in this Section 2 are correct and complete as of the date of this Agreement and except as otherwise provided for herein to the contrary will be correct and complete as of the Closing Date as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Section 2.
