REPRESENTATIONS AND WARRANTIES OF THE VENDORS IN RESPECT OF THE CORPORATION. Except as set forth in the Disclosure Schedules, each Vendor other than Laskovski jointly and severally, represent and warrant to the Purchaser (and acknowledge and agree that Purchaser is relying on such representations and warranties in connection with the execution and delivery and performance of its obligations hereunder), that the statements contained in this Article 3 are true and correct as of the date hereof and as of the Closing Date. For the purposes of this Article 3, any reference to the “Acquired Companies” means the Corporation and its Subsidiaries and does not include Fry Subco, Xxxxx Xxxxx or Xxxxxxx Subco, the representations and warranties in respect of which are solely set forth in Article 4.
