REPRESENTATIONS AND WARRANTIES OF THUNDER AND MERGER SUB. Thoratec and Merger Sub jointly and severally make to TCA the representations and warranties contained in this Article IV, in each case subject to the exceptions set forth in the disclosure statement, dated as of the date hereof, delivered by Thoratec to TCA prior to the execution of this Agreement (the "Thoratec Disclosure Statement"). The Thoratec Disclosure Statement is arranged in schedules corresponding to the numbered and lettered Sections of this Article IV, and the disclosure in any schedule of the Thoratec Disclosure Statement shall qualify only the corresponding Section of this Article IV.
