REPRESENTATIONS AND WARRANTIES OF USAB AND USAC. The representations and warranties of USAB and USAC contained herein, and the statements contained in any schedule, instrument, list, certificate or writing delivered by USAB or USAC pursuant to this Agreement, shall be true, complete and accurate as of the date when made and at and as of the Closing Date as though such representations and warranties were made at and as of such date, except for any changes expressly permitted by this Agreement.
