REPRESENTATIONS AND WARRANTIES OF USTP AND THE USTP CONTROLLING SHAREHOLDERS. Each of USTP and the USTP Controlling Shareholders (where specifically included) hereby, severally and not jointly, represents, warrants and agrees that all of the statements in the following subsections of this Section 2 are true and complete as of the date hereof, and will, except as contemplated by this Agreement, be true and complete as of the Closing Date as if first made on such date:
REPRESENTATIONS AND WARRANTIES OF USTP AND THE USTP CONTROLLING SHAREHOLDERS. All representations and warranties made by USTP and the USTP Controlling Shareholders in this Agreement shall be true and correct in all material respects on and as of the Closing Date as if again made by USTP and the USTP Controlling Shareholders on and as of such date and insofar as any inconsistency or inaccuracy does not or will not have a USTP Material Adverse Effect, except insofar as the representations and warranties relate expressly and solely to a particular date or period, in which case, subject to the limitations applicable to the particular date or period, they will be true and correct in all material respects on and as of the Closing Date with respect to such date or period.
