Representations and warranties of Valspar. Valspar represents and warrants to the Trustee that this Agreement constitutes legal, valid and binding obligations of it enforceable in accordance with their respective terms, and its execution, delivery and performance will not result in a breach of or default under any law, regulation or instrument by which it is bound. The representations and warranties in this clause shall be construed as separate and deemed to be repeated immediately before Closing with reference to the facts and circumstances then existing.
