Representations and Warranties of Vendors and Corporation. Each of the Vendors and the Corporation represents and warrants, severally, and, in the case of the Vendors, in proportion to the consideration paid to such Vendor in Section 2.03 (the "Vendor's Proportion"), as follows to the Purchaser and each of the Vendors and the Corporation acknowledges and confirms that the Purchaser is relying upon such representations and warranties in connection with the purchase by the Purchaser of the Purchased Shares:
