REPRESENTATIONS AND WARRANTIES OF VERSANT AND SUB. Versant and Sub hereby represent and warrant that, except as set forth in the letter addressed to Mokume from Versant executed by the Chief Executive Officer or the Chief Financial Officer of Versant and dated as of the Agreement Date which has been delivered by Versant to Mokume concurrently herewith (the “Versant Disclosure Letter”), each of the following representations, warranties and statements in the following sections of this Article 4 is true and correct as of the Agreement Date and will be true and correct on and as of the Closing Date. For all purposes of this Agreement (including without limitation Articles 8 and 9 hereof), the statements contained in the Versant Disclosure Letter and its schedules shall also be deemed to be representations and warranties made and given by Versant under Article 4 of this Agreement.
