REPRESENTATIONS AND WARRANTIES OF VISIONICS. Visionics makes to Identix and Merger Sub the representations and warranties contained in this Article III, in each case subject to the exceptions set forth in the disclosure statement, dated as of the date hereof, delivered by Visionics to Identix at least forty-eight hours prior to the execution of this Agreement (the "VISIONICS DISCLOSURE STATEMENT"). The Visionics Disclosure Statement shall be arranged in schedules corresponding to the numbered and lettered Sections of this Article III, and the disclosure in any Schedule of the Visionics Disclosure Statement shall qualify only the corresponding Section of this Article III.
