Representations and Warranties of WCG with respect to the Issuer and the Co-Issuer. WCG makes the following representations and warranties with respect to the Issuer and the Co-Issuer to the other Parties as of the date hereof and as of the Closing Date, except as otherwise specified:
Representations and Warranties of WCG. WCG represents and warrants that it has full power and has obtained all necessary authorizations to enter into and sign this Agreement, that its undertakings are valid and enforceable in accordance with their terms, subject to the condition precedent stipulated in Article 4 (f) of the Share Purchase Agreement. WCG guarantees the undertakings made by any company of the WCG Group that it might substitute for itself pursuant hereto.
