WFB, in its individual capacity and as Purchaser, each as to itself only, represents and warrants to Seller that the following statements are on the date of this Agreement, and at the Delivery Time will be, true and accurate: 7.1 Organization and Power . WFB is duly organized and validly existing in good standing under the laws of the United States of America and has the requisite power and authority to enter into and perform the transactions contemplated by the Purchase Documents to which it is a party, whether individually or as Purchaser. 7.2
