Representations and Warranties of Widecom. Widecom hereby represents and warrants to the Corporation, and acknowledges and confirms that the Corporation is relying upon such representations and warranties in connection herewith and would not have entered into this Agreement without such representations and warranties:

Widecom hereby agrees and confirms that the representations and warranties made by it pursuant to subsection 4.1 of the Widecom Subscription Agreement shall apply mutatis mutandis in favour of Innovatech as if made in this Agreement and hereby acknowledges and confirms that Innovatech is relying upon such representations and warranties in connection herewith and would not have entered into this Agreement without such representations and warranties. Widecom hereby also agrees and confirms that the representations and warranties made by it pursuant to Section 9 of the Widecom License Agreement shall apply mutatis mutandis in favour of Innovatech as if made in this Agreement and hereby also acknowledges and confirms that Innovatech is relying upon such representations and warranties in connection herewith and would not have entered into this Agreement without such representations and warranties.
