REPRESENTATIONS AND WARRANTIES OF XXXXXXXX AND PRINCIPAL SHAREHOLDERS. Xxxxxxxx and the Principal Shareholders delivered to IntriCon and Buyer disclosure schedules (the “Disclosure Schedules”) consisting of numbered schedules corresponding to the numbered subsections of this Section 4 and setting forth, among other things, items the disclosure of which is necessary or appropriate either in response to an express disclosure requirement contained in a provision of this Section 4 or as an exception to one or more representations or warranties contained in this Section 4 (with specific reference to the particular subsection to which the information set forth in such Disclosure Schedule relates). The inclusion of an item in the Disclosure Schedules as an exception to a representation or warranty shall not be deemed an admission by Xxxxxxxx or the Principal Shareholders that such item represents a material exception to such representation or warranty. Knowing that IntriCon and Buyer are relying thereon, Xxxxxxxx and each Principal Shareholder, jointly and severally, represents and warrants to IntriCon and Buyer, as set forth below in this Section 4.
