Common use of Representations and Warranties; Performance of Covenants Clause in Contracts

Representations and Warranties; Performance of Covenants. The representations and warranties of the Subscribers contained in Article 8 hereof shall be true and correct at and as of the date hereof and the Second Closing Date as if made at and as of each such date, and the Subscribers shall have performed and complied with all of their agreements and conditions set forth or contemplated herein that are required to be performed by, or complied with by the Subscribers on or before the Second Closing Date.
