Common use of Representations and Warranties; Performance of Obligations Clause in Contracts

Representations and Warranties; Performance of Obligations. All of the representations and warranties of Buyer contained in this Agreement shall be true, correct and complete on and as of the Closing Date with the same effect as though such representations and warranties had been made as of such date; all of the terms, covenants, agreements and conditions of this Agreement to be complied with, performed or satisfied by Buyer on or before the Closing Date shall have been duly complied with, performed or satisfied; and a certificate to the foregoing effects dated the Closing Date and signed by the President or any Vice President of Buyer shall have been delivered to the Company and the Stockholders.

All of the representations and warranties of Buyer the Purchaser and Old ACG contained in this Agreement shall be true, true and correct and complete on and in all material respects as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date; all of the terms, covenants, agreements covenants and conditions of this Agreement to be complied with, with or performed or satisfied by Buyer the Purchaser and Old ACG on or before the Closing Date shall have been duly complied with, with or performed or satisfiedin all material respects; and a certificate to the foregoing effects effect, dated the Closing Date and signed by the President or any Vice President of Buyer each of Purchaser and Old ACG shall have been delivered to the Company and the StockholdersSeller.
