Common use of Representations and Warranties; Performance of Obligations Clause in Contracts

Representations and Warranties; Performance of Obligations. All the representations and warranties of the Stockholders and the Company contained in this Agreement shall be true and correct in all material respects as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date; all of the terms, covenants and conditions of this Agreement to be complied with or performed by the Stockholders and the Company on or before the Closing Date, as the case may be, shall have been duly performed or complied with in all material respects; and the Stockholders shall have delivered to Metals certificates dated the Closing Date to such effect.

Representations and Warranties; Performance of Obligations. All the representations and warranties of the Stockholders and the Company contained in this Agreement shall be true and correct in all material respects as of the Closing Date and the Consummation Date with the same effect as though such representations and warranties had been made on and as of such date; all of the terms, covenants and conditions of this Agreement to be complied with or performed by the Stockholders and the Company on or before the Closing Date or the Consummation Date, as the case may be, shall have been duly performed or complied with in all material respects; and the Stockholders shall have delivered to Metals RV Centers certificates dated the Closing Date and the Consummation Date, respectively, and signed by them to such effect.

All the representations and warranties of the Stockholders Owners and the Company contained in this Agreement shall be true and correct in all material respects as of the Closing Date and the Funding and Consummation Date with the same effect as though such representations and warranties had been made on and as of such date; all of the terms, covenants and conditions of this Agreement to be complied with or performed by the Stockholders Owners and the Company on or before the Closing Date or the Funding and Consummation Date, as the case may be, shall have been duly performed or complied with in all material respects; and the Stockholders Owners shall have delivered to Metals Home certificates dated the Closing Date and the Funding and Consummation Date, respectively, and signed by them to such effect.

All the representations and warranties of the Stockholders and the Company Seller contained in this Agreement shall be true and correct in all material respects as of the Closing Date and the Consummation Date with the same effect as though such representations and warranties had been made on and as of such date; all of the terms, covenants and conditions of this Agreement to be complied with or performed by the Stockholders and the Company Seller on or before the Closing Date or the Consummation Date, as the case may be, shall have been duly performed or complied with in all material respects; and the Stockholders Seller shall have delivered to Metals certificates RV Centers and the Buyer a certificate dated the Closing Date and the Consummation Date, respectively, and signed by the Seller to such effect.

All the representations and warranties of the Stockholders and the Company contained in this Agreement shall be true and correct in all material respects as of the Closing Date and the Consummation Date with the same effect as though such representations and warranties had been made on and as of such date; all of the terms, covenants and conditions of this Agreement to be complied with or performed by the Stockholders and the Company on or before the Closing Date or the Consummation Date, as the case may be, shall have been duly performed or complied with in all material respects; and the Stockholders shall have delivered to Metals CLC certificates dated the Closing Date and the Consummation Date, respectively, and signed by them to such effect.

All of the representations and warranties of the Stockholders and the Company contained in this Agreement shall be true true, correct and correct in all material respects complete on and as of the Closing Date with the same effect as though such representations and warranties had been made on and as of such date; date unless changes in the matters represented and warranted herein are expressly permitted or provided herein, all of the terms, covenants covenants, agreements and conditions of this Agreement to be complied with with, performed or performed satisfied by the Stockholders Company and the Company Stockholders on or before the Closing Date, as the case may be, Date shall have been duly complied with, performed or complied with in all material respectssatisfied; and a certificate to the foregoing effects dated the Closing Date and signed on behalf of the Company and by each of the Stockholders shall have been delivered to Metals certificates dated the Closing Date to such effectParent.
