Common use of Representations and Warranties; Performance Clause in Contracts

Representations and Warranties; Performance. The representations and warranties of each Purchaser contained in this Agreement shall be true and correct in all material respects on the date of the Closing with the same effect as though made on and as of that date, except for representations and warranties which speak as of a specified date, which shall be true and correct in all material respects as of such specified date.
