Representations and Warranties Regarding List Exchange. Each of MGMA and Affiliate represents and warrants to the other that it has the authority and legal right to disclose and share such membership data as it shares from time to time with the other party and that doing so does not violate any law, regulation, rule or order or any contract, agreement or policy to which it is subject or by which it is bound and that its membership data delivered to the List Exchange was collected lawfully and in accordance with all applicable legal, contractual and internal privacy and other policies.
