Representations and Warranties The representations and warranties of Buyer contained in. Article IV hereof shall be true and correct in all respects (in the case of any representation or warranty containing any materiality qualification) and in all material respects (in the case of any representation or warranty without any materiality qualification) as of the date of this Agreement and as of the Closing Date; provided that "knowledge," "best -------- knowledge" and similar terms and phrases shall be deemed to be deleted therefrom; provided further that to the extent that any such representations and -------- ------- warranties were made as of a specified date, such representations and warranties shall continue on the Closing Date to have been true in all material respects as of such specified date.
