Common use of Representations and Warranties to be Continuing Clause in Contracts

Representations and Warranties to be Continuing. All of the foregoing representations and warranties will be true at the date of the initial disbursement and at the dates of all subsequent disbursements of the Loan. All representations, warranties, covenants, and agreements made herein or in any certificate or other document delivered to the Bank by or on behalf of the Borrower shall be deemed to have been relied upon by the Bank notwithstanding any investigation heretofore or hereafter made by the Bank or on its behalf, and shall survive the making of any or all of the disbursements contemplated hereby and shall continue in full force and effect as long as there remains unperformed any obligation to the Bank hereunder or under any of the Loan Documents.

All representations, warranties, covenants, and agreements made herein or in any certificate or other document delivered to the Bank Lender by or on behalf of the Borrower shall be deemed to have been relied upon by the Bank Lender notwithstanding any investigation heretofore or hereafter made by the Bank Lender or on its behalf, and shall survive the making of any or all of the disbursements contemplated hereby and shall continue in full force and effect as long as there remains unperformed unpaid any obligation to the Bank Lender hereunder or under any of the Loan Transaction Documents.
