Representations and Warranties True as of Closing Date. The representations and warranties of Clariti contained in this Agreement shall be true, correct and complete at and as of the date hereof and shall be true, correct and complete on and as of the Closing Date with the same effect as though such representations and warranties were made on and as of the Closing Date, except for changes in the ordinary course of business which, individually or in the aggregate, do not constitute an adverse change to Clariti.
