Common use of Representations and Warranties True as of the Closing Date Clause in Contracts

Representations and Warranties True as of the Closing Date. The representations and warranties of Sellers and Xxxxxx’x contained in this Agreement or in any list, certificate or document delivered by Sellers or Xxxxxx’x to Purchaser pursuant to the provisions hereof shall be true in all material respects on the Closing Date with the same effect as though such representations and warranties were made as of such date; provided, however, that any representation or warranty which is qualified by materiality shall, with regard to the portion so qualified, be true and correct in all respects.

Representations and Warranties True as of the Closing Date. The representations and warranties of Sellers Sellers, Buck Xxxxx, XX and Xxxxxx’x CF contained in this Agreement or in any listschedule, certificate or document delivered by Sellers or Xxxxxx’x Sellers, Buck Xxxxx, XX and/or CF to Purchaser pursuant to the provisions hereof shall be true on the date of delivery thereof and shall be true on the Closing Date in all material respects on the Closing Date with the same effect as though such representations and warranties were made as of such date; provided, however, that any representation or warranty which is qualified by materiality shall, with regard to the portion so qualified, be true and correct in all respects.

The representations and warranties of Sellers Purchaser and Xxxxxx’x Parent contained in this Agreement or in any list, certificate or document delivered by Sellers Purchaser or Xxxxxx’x Parent to Purchaser Seller or CHE pursuant to the provisions hereof shall be true in all material respects on the Closing Date with the same effect as though such representations and warranties were made as of such date; provided, however, that any representation or warranty which is qualified by materiality shall, with regard to the portion so qualified, be true and correct in all respects.

Representations and Warranties True as of the Closing Date. The representations and warranties of Sellers and Xxxxxx’x Seller contained in this Amended Agreement or in any listschedule, certificate or document delivered by Sellers or Xxxxxx’x Seller to Purchaser pursuant to the provisions hereof shall have been true on the date hereof without regard to any schedule updates furnished by Seller after the date hereof and shall be true in all material respects on the Closing Date with the same effect as though such representations and warranties were made as of such date; provided, however, that any representation or warranty which is qualified by materiality shall, with regard to the portion so qualified, be true and correct in all respects.
