Representations and Warranties True at the Closing Date. The representations and warranties of Seller and Shareholders contained in this Agreement shall be deemed to have been made again at and as of the Closing Date and shall then be true and correct; provided that, any representations and warranties which specifically relate to a particular date or period shall be true and correct as of such date and for such period.
