Representations and Warranties True; No Adverse Change. The representations and warranties of Shareholders and the Company contained herein shall be true and correct, in all respects, on the Closing Date with the same force and effect as though such representations and warranties had been made on the Closing Date, and since the date hereof there shall have occurred no adverse change in the Business, and Shareholders shall deliver to Parent and the Surviving Corporation a certificate signed by Shareholders and an officer of the Company to such effect.
