Representations and Warranties True; No Misleading Statements. All of the representations and warranties set forth in this Article III shall be true and correct as of the Effective Time as if made at that time. The representations and warranties made herein and in any Schedule, list or other document specifically referred to herein and delivered by the Company or the Shareholders pursuant hereto, and all information provided by the Company for inclusion in the Merger Information (hereinafter defined), taken as a whole, do not contain any untrue statements of a material fact or omit to state a material fact necessary in order to make the statements herein or therein, in light of the circumstances under which they were made, not misleading.
