Representations and Warrants of the Reinsurer. The Reinsurer represents and warrants as follows: a) it is a corporation duly organized, existing and in good standing under the laws of the State of Texas; and b) it is empowered under applicable laws and by its charter and bylaws to enter into and perform the duties contemplated in this Agreement; and c) it has taken all requisite corporate proceedings to authorize it to enter into and perform the duties contemplated in this Agreement; and d) it has obtained any and all regulatory approvals as may be required for the Reinsurer to provide the reinsurance covered hereunder. e) it has provided certain data, both oral and written, as part of the Company's due diligence process and that such data is complete and accurately describes the current financial condition of the Reinsurer. f) it is a U.S. taxpayer.

  • Representations and Warrants The Ceding Company and the Reinsurer agree that all matters with respect to this Agreement require their utmost good faith. Each party represents and warrants to the other party that it is solvent on a statutory basis in all jurisdictions in which it does business or is licensed.
