All written representations, recitals and affirmations made in this Agreement by any Party shall be true and correct in all material respects as of the Closing Date as if made at the Closing, except for changes in the usual and ordinary course of business that, individually or in the aggregate, do not affect materially the financial condition, business or prospects of the Party that made the representation that has changed or would not have a material adverse effect on such Party's ability to perform its obligations under this Agreement. No Party may avoid its obligations under this Agreement by asserting that its own representations are not true and correct in all material respects as of the Closing Date.
