REPRESENTATIONS AS TO 1997 STATEMENTS. When they are delivered as provided in Section 7.C, the 12/31/97 Financial Statements will be, in all material respects, (a) as of December 31, 1997, correct, complete and in agreement with the books and records regularly maintained by Xxxxxxxx and its Subsidiaries, and (b) prepared in accordance with generally accepted accounting principles applied on a basis consistent with past practice throughout the year involved, and will present fairly in all material respects, the financial position of Xxxxxxxx and its Subsidiaries as at December 31, 1997 and the results of the operations and cash flow of Xxxxxxxx and its Subsidiaries for the period covered thereby.
