Common use of Representations as to Pledgor Clause in Contracts

Representations as to Pledgor. The execution, delivery and performance of this Agreement and the consummation of the transactions contemplated herein will not conflict with or cause a material breach of any agreement, indebtedness, indenture or other instrument to which Pledgor is a party. There are no actions, suits or proceedings pending or threatened against Pledgor which, if adversely decided, would have a material adverse effect upon Pledgor.
