Common use of Representations by Employee Clause in Contracts

Representations by Employee. Employee represents and warrants to the Company that (a) Employee has the legal right, power and authority to enter into this Agreement and perform the obligations imposed upon him, (b) there are no legal proceedings pending, or to the knowledge of Employee, threatened against Employee which would in any way adversely affect the performance of the obligations, and (c) Employee is not a party to any restrictive covenant, agreement, contract or instrument which would in any way prohibit Employee from entering into or performing such obligations.
