Representations by Salk. Salk hereby represents and warrants to Licensee that (1) it has not granted any rights to any third party inconsistent with the rights granted to Licensee hereunder, (ii) it has not received any notice of infringement or invalidity from any third party relating to the Patent Rights, and (iii) all improvements to the technology covered by the Patent Rights arising from research funded by the Research Development Foundation in ▇▇▇▇▇ ▇▇▇▇’▇ laboratory are controlled by the Research Development Foundation, and Salk will promptly notify Licensee in the event that such control changes.
