Representations by the Contributor. The Contributor represents and warrants to each of the Company Entities, other than with respect to such matters set forth in the Contributor disclosure schedule attached to this Agreement as Exhibit A, that each and every one of the following statements is true, correct, and complete in all material respects as of the date of this Agreement and will be true, correct, and complete in all material respects as of the Closing Date; provided, however, that none of the representations and warranties hereunder with respect to the Student Housing Entities shall apply with respect to any other party, as to which no representations and warranties are being made by the Contributor hereunder:
