Common use of REPRESENTATIONS, COVENANTS, AND WARRANTIES OF IMGL Clause in Contracts

REPRESENTATIONS, COVENANTS, AND WARRANTIES OF IMGL. As an inducement to, and to obtain the reliance of Tang Dynasty and the Stockholder, except as set forth in the Schedules of IMGL attached hereto (the “IMGL Disclosure Schedules”), IMGL hereby represents and warrants to Tang Dynasty and the Stockholder, as of the date hereof and as of the Closing Date, as follows. As used herein, the term “knowledge of IMGL” or similar language refers to the knowledge of Xie Wxx Xxxxx and Cxxx Xxx Kxx, the controlling stockholders of IMGL prior to the closing of this Agreement.
