Common use of Representations in Term Loan Agreement Clause in Contracts

Representations in Term Loan Agreement. In the case of each Guarantor, the representations and warranties set forth in Article VII of the Term Loan Agreement as they relate to such Guarantor or to the Loan Documents to which such Guarantor is a party, each of which is hereby incorporated by reference, are true and correct, and the Administrative Agent and the Lenders shall be entitled to rely on each of them, provided that each reference in each such representation and warranty to the Borrower’s knowledge shall, for the purposes of this Section 4.01, be deemed to be a reference to such Guarantor’s knowledge.

Representations in Term Loan Agreement. In the case of each Guarantor, the representations and warranties set forth in Article VII of the Term Loan Agreement as they relate to such Guarantor (in its capacity as a Subsidiary of the Borrower) or to the Loan Documents to which such Guarantor is a party, each of which is hereby incorporated by reference, party are true and correct, and the Administrative Agent and the Lenders shall be entitled to rely on each of themcorrect in all material respects, provided that each reference in each such representation and warranty to the Borrower’s 's knowledge shall, for the purposes of this Section 4.015.01, be deemed to be a reference to such Guarantor’s 's knowledge.
