Representations Of AlgoRx. AlgoRx represents and warrants to the Inventors severally that (a) AlgoRx has the power and authority to execute, deliver and perform this Agreement, (b) this Agreement is a valid and binding obligation of AlgoRx, enforceable in accordance with its terms, except as such enforcement may be limited by applicable bankruptcy, insolvency, moratorium or similar laws affecting the enforcement of creditors’ rights generally, and (c) it intends and plans to actively devote commercially reasonable resources to development and commercialization of the Licensed Technology.
