Representations of Backup Servicer. The Backup Servicer makes the following representations on which the Trustee relies in accepting the Receivables in trust and executing and authenticating the Certificates on the Closing Date. The representations speak as of the Closing Date, but shall survive the sale and assignment of the Receivables to the Trustee in trust for the benefit of the Certificateholders.
